想请问一下，在companies house的annual return的时间过了，会要交罚款吗？我12年12月注册的公司，后来公司一直没有运行，所以也没有收入，也没有请会计师，等于是只注册了一个公司
我现在想关闭这个公司，请问在annual return record弄好之前可以关闭吗？跪求指点，谢谢

It is a criminal offence not to file the Annual Returns to the Companies House within 28 days (in the real life, company can apply for an extension for filing) from the anniversary date, therefore, the Companies House may choose to prosecute the company and its officers - most commonly - the director(s) of the company will be held liable. In the extreme case, the company might be struck off from the Register, the director(s) will be prosecuted and fined up to £5,000.00 by the Companies House.
It would be wise to file the Annual Return then apply for striking off.
